Terms of Service
Effective Date: May 26, 2026
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Business Customer" or "you") and Sentio("Sentio," "we," "our," or "us") governing your access to and use of the Sentio platform, including our WhatsApp automation services, AI chatbot, scheduling integrations, and related tools (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Description of Service
Sentio provides a cloud-based automation platform that enables appointment-based businesses to send automated WhatsApp messages to their customers, including:
- Booking confirmations, reschedule notices, and cancellation alerts
- Appointment reminders (48-hour and 2-hour prior to scheduled time)
- Post-visit review requests
- Re-engagement and win-back campaigns for lapsed customers
- AI-powered chatbot responses to inbound customer inquiries
The Service integrates with Vagaro (appointment scheduling) and the Meta WhatsApp Business Cloud API. Use of these third-party platforms is subject to their own terms and policies.
2. Eligibility and Account Registration
To use the Service, you must:
- Be at least 18 years of age
- Operate a legitimate business with a valid WhatsApp Business account
- Have the legal authority to enter into binding contracts on behalf of your business
- Comply with all applicable local, state, national, and international laws
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at contact@performicy.com if you suspect any unauthorized use of your account.
3. WhatsApp and Meta Platform Compliance
By using Sentio, you agree to comply fully with Meta's platform policies, including:
You specifically agree that:
- You will only send messages to customers who have provided opt-in consent to receive WhatsApp communications from your business
- You will honor all opt-out requests (STOP / UNSUBSCRIBE) immediately and will not attempt to re-message opted-out numbers
- You will not use Sentio to send spam, unsolicited messages, misleading content, or content that violates Meta's policies
- You will not use the Service to send prohibited content categories as defined by Meta, including but not limited to: illegal products or services, discriminatory content, or content that violates intellectual property rights
- You are the data controller for your customers' data and bear responsibility for obtaining all required consents under applicable privacy law
Important:Violation of Meta's platform policies may result in suspension of your WhatsApp Business Account by Meta, independent of any action Sentio takes. We are not liable for any such suspension.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Send fraudulent, deceptive, abusive, harassing, or threatening messages
- Transmit malware, viruses, or any malicious code
- Attempt to reverse-engineer, decompile, or disassemble any part of the Service
- Circumvent, disable, or interfere with security features of the Service
- Scrape, copy, or harvest data from the Service without written permission
- Resell, sublicense, or transfer access to the Service to third parties without written consent from Sentio
- Use the Service in any way that could damage, overburden, or impair our infrastructure
- Impersonate any person or entity or misrepresent your affiliation with any person or entity
We reserve the right to suspend or terminate your access to the Service immediately and without notice if we determine, in our sole discretion, that you have violated this section or any other provision of these Terms.
5. Customer Consent Obligations
You are solely responsible for ensuring that all end-customers who receive WhatsApp messages through Sentio have provided valid, informed opt-in consent to receive such communications from your business. This includes:
- Obtaining express consent before sending any marketing or promotional messages
- Maintaining records of consent for each customer
- Providing customers with clear information about what types of messages they will receive
- Including opt-out instructions in all messages where required by law or platform policy
Sentio provides the technical mechanism for opt-out processing but is not responsible for your compliance with consent requirements. You indemnify Sentio against all claims arising from your failure to obtain or maintain proper consent.
6. Intellectual Property
All rights, title, and interest in and to the Service, including all software, algorithms, designs, and documentation, are and remain the exclusive property of Sentio. These Terms do not grant you any ownership interest in the Service.
You retain ownership of all content and data you provide to the Service ("Customer Data"). You grant Sentio a limited, non-exclusive, royalty-free license to process, store, and transmit Customer Data solely as necessary to provide the Service to you.
You may not use our name, logo, or branding without prior written consent, except to accurately describe your use of the Service.
7. Fees and Payment
Access to the Service may be subject to subscription fees as described on our pricing page or in a separate order form. By providing payment information, you authorize us to charge the applicable fees.
- All fees are non-refundable unless otherwise stated or required by law
- We reserve the right to change our fees with 30 days' written notice
- Failure to pay fees may result in suspension or termination of your account
- You are responsible for all taxes applicable to your use of the Service
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that messages will be delivered within any specific timeframe or that Meta or Vagaro will maintain uptime or API availability.
Sentio is not responsible for any outcomes resulting from message delivery failures, appointment no-shows, or customer interactions facilitated through the platform.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SENTIO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO SENTIO IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS (USD $100).
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability is limited to the greatest extent permitted by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Sentio and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Service in violation of these Terms
- Your violation of any applicable law or third-party right
- Your Customer Data or the content of messages you send through the Service
- Your failure to obtain required consents from end-customers
- Any violation of Meta's, Vagaro's, or any other third party's terms or policies
11. Term and Termination
These Terms are effective from the date you first access the Service and continue until terminated.
- By you: You may terminate your account at any time by contacting us. Termination does not entitle you to a refund of prepaid fees.
- By us: We may suspend or terminate your account at any time, with or without notice, for violation of these Terms, non-payment of fees, or if we are required to do so by law or by a third-party platform (e.g., Meta).
Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy. Sections 6, 8, 9, 10, and 13 survive termination.
12. Modifications to the Service and Terms
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We may update these Terms from time to time. Material changes will be communicated via email or through the platform at least 14 days before taking effect.
Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms. If you do not agree with the updated Terms, you must stop using the Service.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions.
Any disputes arising from these Terms or the Service shall first be subject to good-faith negotiation. If not resolved within 30 days, disputes shall be resolved through binding arbitration in accordance with the rules of the applicable arbitration body, unless you are located in a jurisdiction where arbitration is not enforceable, in which case disputes shall be submitted to the exclusive jurisdiction of the courts of Ontario, Canada.
14. Miscellaneous
- Entire Agreement: These Terms, together with our Privacy Policy and any order forms, constitute the entire agreement between you and Sentio regarding the Service.
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
- Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
- Assignment: You may not assign these Terms or any rights hereunder without our prior written consent. We may assign these Terms freely.
- Force Majeure: We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, internet outages, third-party platform failures, or government actions.
